PURCHASE, SALE AND RETURN TERMS AND CONDITIONS

GENERAL PROVISIONS

These terms and conditions (hereinafter referred to as the “Terms”) form an agreement between UAB “Moletų Technikos Parkas”, legal entity code 307594551, registered office address Statybininkų g. 9, Lithuania (hereinafter referred to as the “Seller”), and you, under which the Seller provides you with the opportunity to purchase goods offered in the online store at http://www.mtpeshop.com/ (hereinafter referred to as the “E-store”) (hereinafter referred to as the “Goods”).

You have the right to purchase from the E-store only if, under applicable law, you are able to enter into a binding agreement with the Seller, and only if you comply with these Terms and applicable laws. If you are under 18 years of age, you may purchase from the E-store only with the consent of your parents or other legal representatives. By placing an order, you confirm that you are 18 years of age or older, or that you have the consent of your parents or other legal representatives.

PURCHASING FROM THE E-STORE

When you visit the E-store and select Goods, a shopping cart is created based on your selection.

After creating the shopping cart, you must enter the information necessary for the delivery of the selected Goods. Please make sure that the information provided is correct and that the Goods ordered meet your requirements. You have the opportunity to correct any errors before confirming the order. The information you provide is processed for the purposes and in the manner set out in the Privacy Policy.

By placing an order in the E-store, you agree to pay the price for the Goods stated in the order. The price of the Goods shown in the E-store and in the order includes all taxes, but does not include the delivery fee, which you must pay additionally, unless otherwise stated in the E-store. Prices in the E-store and in the order are shown in euros.

You may pay for the Goods by the following methods: online banking, credit card.

Payment must be made immediately after placing the order.

When you confirm the order, the Seller receives all information about it. The order is considered submitted from the moment it is received by the Seller. At the same time, an agreement between you and the Seller is deemed to have been concluded. However, the Seller is obliged to perform such agreement only from the moment the Seller receives confirmation from the payment service provider that payment for the Goods has been made.

After the order is placed, an email will be sent to the email address you provided, specifying the Goods ordered and the information you provided.

After receiving notification that you have paid for the ordered Goods, the Seller undertakes to fulfil your order.

CHARACTERISTICS AND QUALITY OF GOODS

The characteristics of the Goods are indicated in the E-store in the description of each item. The Seller seeks to ensure that the Goods comply with legal requirements and are suitable for their intended use.

By placing an order, you confirm that you are aware of and understand that the Goods shown in the E-store may differ in colour, shape or other parameters from the actual size, shape and colour of the Goods due to the characteristics or settings of the monitor or other device you use. Such differences will not be considered defects of the Goods, except where the differences are caused by the actions of the Seller or third parties related to the Seller.

The Seller undertakes to deliver Goods that correspond to the information provided in the product description in the E-store. The Seller also undertakes to provide you with the range and quantity of Goods specified in the order, but is not liable in cases where the range or quantity of delivered Goods is inaccurate because you provided incorrect information in the order submitted to the Seller.

DELIVERY OF GOODS

When ordering Goods, you must choose a delivery method and provide the delivery address. Delivery is available by courier and to parcel lockers.

Please note that the indicated delivery times are preliminary. Although we always try to fulfil orders as quickly as possible, preparation may sometimes take longer due to a high volume of orders or the workload of delivery service providers. The Seller will always provide information about the delivery status, so please follow this information. Once the parcel has been dispatched, you can track it using the shipment number in the delivery service provider’s system.

If, after accepting the Goods, you notice that the parcel does not contain the ordered Goods, please inform the Seller immediately.

The Goods are delivered packaged according to their nature, with the aim of ensuring that the Goods are suitable for their intended use.

EXCHANGE OR RETURN OF GOODS

Withdrawal from the agreement within 14 days applies only to consumers.

If you purchase from the E-store as a consumer, meaning a natural person acting for purposes not related to your business, trade, craft or profession, you have the right to return Goods purchased from the E-store within 14 calendar days from the day you received the Goods. You may do this without giving any reason, by exercising your right to withdraw from a distance contract granted to you by Lithuanian and European Union law.

If you withdraw from the agreement and return the Goods, the Goods must be unused, with labels and in the original packaging, undamaged and not having lost their merchantable appearance. We will consider this requirement fulfilled if, when testing the Goods, you performed only those actions that were necessary to evaluate the Goods and that you would normally perform if inspecting the Goods in a physical store.

To exercise this right, you must notify the Seller by email no later than within 14 calendar days from the day of receiving the Goods and attach proof of purchase.

If you decide to withdraw from the agreement, you must immediately and in any case no later than within 14 calendar days from the day on which you notified the Seller by email about the return, send the Goods back to the Seller at the following address:

The deadline will not be missed if you send the Goods before the expiry of the 14-day period. You must cover the cost of returning the Goods to the Seller.

If you withdraw from the agreement, the Seller undertakes to refund to the bank account indicated by you all money paid by you for the Goods and their delivery to you no later than within 14 calendar days from the day on which you notified the Seller by email about the return, but not earlier than the Seller receives the returned Goods, unless the Seller decides at its own discretion not to wait for the returned Goods.

Wholesalers and other buyers who purchase from the E-store for purposes other than consumer purposes do not have the right to withdraw from the agreement, unless otherwise expressly agreed in writing with the Seller.

GOODS OF INADEQUATE QUALITY

The Goods are subject to the statutory warranty provided by the laws of the Republic of Lithuania. This means that the Seller is liable to the consumer for any non-conformity of the Goods with quality requirements that existed at the time of delivery and became apparent no later than within two years from the delivery of the Goods.

If the Goods purchased from the E-store are of inadequate quality, you have the right, in accordance with the procedure and within the time limits established by law, to request that the Seller eliminate the defects of the Goods free of charge or replace the Goods of inadequate quality with Goods of suitable quality, and in cases provided by law, to request a corresponding price reduction or to return the Goods.

If you believe that the Goods purchased from the E-store are of inadequate quality and you have identified defects, you must notify the Seller by email no later than within two months from the day the non-conformity was discovered and indicate your preferred solution. When notifying the Seller about Goods of inadequate quality, please provide a detailed description of where and when the defect occurred, attach photographs of the Goods and the defect, and provide any other related information that may help identify the defect.

The buyer’s rights relating to Goods of inadequate quality are exercised in accordance with Articles 6.364(1)–6.364(3) of the Civil Code of the Republic of Lithuania.

INTELLECTUAL PROPERTY

Trademarks and other marks used to identify the Goods belong to the Seller and/or other persons and are protected by law. All intellectual property rights to the Goods and their individual parts also belong to the Seller and/or other persons.

The trademarks and logos used in the E-store, the domain name, the E-store itself and the website on which it is hosted, as well as all individual elements thereof, including texts, photographs, drawings and all material contained in the E-store and on the website, the presentation, appearance and design of any page of the E-store or website, and all intellectual property rights thereto, belong exclusively to the Seller and/or other persons. You undertake not to copy, modify or otherwise use these intellectual property objects without the separate written consent of the rights holder.

LIABILITY

The Seller’s liability for the quality and delivery of the Goods is established by applicable law.

You must provide the Seller with all requested information correctly and completely. You are responsible for providing the correct delivery address for the Goods.

You are responsible for the security of your username, password and other data allowing access to the E-store. However, if you notice that someone is using your username and password without authorisation, please contact the Seller immediately.

CHANGES AND TERMINATION

The Seller may change these Terms from time to time. The latest current version of the Terms will always be visible and available in the E-store. Before confirming an order, you must read the version of the Terms in force at that time. Each order will be subject to the version of the Terms that was in force at the time such order was confirmed.

The Seller has the right to discontinue or terminate the operation of the E-store at any time. Such termination will not affect purchase-sale agreements that are valid at that time.

OTHER CONDITIONS

These Terms and any purchase-sale agreement are concluded and must be interpreted in accordance with the laws of the Republic of Lithuania.

Any disputes, disagreements or claims arising from or related to these Terms or a separate purchase-sale agreement, including issues relating to their breach, termination or validity, shall be resolved in the courts of the Republic of Lithuania in accordance with the procedure established by the laws of the Republic of Lithuania.

The out-of-court consumer dispute resolution body competent to resolve consumer disputes arising from these Terms is the State Consumer Rights Protection Authority:

All notices or other communications related to purchases in the E-store or to these Terms will be provided by email. Notices sent to the Seller will be sent to the email address indicated at the beginning of these Terms. Notices sent to you will be sent to the email address provided by you when placing the order.

If any provision of these Terms is or becomes fully or partially invalid, this shall not affect the validity of the remaining provisions.
